These terms are an agreement between Nebular Cloud Ltd (registered in England and Wales, No. 10242111, Egerton House, 55 Hoole Road, Chester CH2 3NJ; "we", "us") and the business that signs up ("you"). By signing up you confirm you're authorised to accept them for your business.
The IT Person is a service for businesses. It isn't intended for consumers.
1. The service
The IT Person gives you a self-service portal to see and manage your Microsoft 365, plus the support level you choose:
- Portal: the portal for your organisation. Self-service sign-up covers organisations with up to 25 Microsoft 365 users. Larger organisations are very welcome, on a plan and price we agree with you directly.
- Portal + Helpdesk: the portal, plus support cases handled by our engineers through the portal (not by phone, email or Teams), charged per user.
- Fully Managed: provided under a separate agreement that we'll agree with you directly.
Features depend on your plan and may improve over time. We'll tell you before removing anything significant.
2. Connecting your Microsoft 365
To provide the service, your Global Administrator approves a Microsoft partner connection called granular delegated admin privileges (GDAP). It gives us only the time-limited roles we need. If you choose to buy Microsoft licences through us, your administrator also approves a reseller relationship.
Your administrator can remove these at any time in Microsoft 365. If they do, the portal will stop working for you. Your subscription carries on until you cancel it (see section 5).
3. Free trial
The Portal plan includes a 14-day free trial. We take your card details when you sign up, but nothing is charged until day 15. If you cancel before then, you pay nothing. Helpdesk has no trial and is charged from the day you add it.
4. Prices and payment
- Prices are shown including VAT, with the price excluding VAT alongside.
- You pay by card through Stripe, monthly or yearly in advance. A yearly plan costs the same as 10 months, so you get 2 months free.
- Stripe emails you a receipt for each payment, and we email you a VAT invoice.
- If a payment fails, Stripe tries again automatically and we'll let you know. If it still hasn't been paid 14 days after it was due, we may suspend the service until it is.
- Price changes: we'll give you at least 30 days' notice by email, and you can cancel before the new price applies. Yearly plans keep their price until renewal.
5. Cancelling
- Monthly plans: cancel at any time with 30 days' notice. You'll be charged for that notice period, and the service ends when it does.
- Yearly plans: you can cancel at any time, and the plan won't renew. You keep the service until the end of the year you've paid for. We don't refund the unused part of a yearly plan.
- During the free trial: cancel at any time before day 15 and you pay nothing.
When the service ends, we remove our delegated admin access to your Microsoft 365, and we delete your portal data as described in our Privacy policy.
6. Your responsibilities
You agree to:
- give us accurate information and keep it up to date;
- only let authorised people in your organisation use the portal, and keep your Microsoft accounts secure (we strongly recommend multi-factor authentication);
- make sure any change you ask us, or the portal, to make (for example adding or removing users, or changing licences) is one you're authorised to make;
- use the service lawfully, and not try to break, overload or misuse it.
7. Microsoft and other services
The IT Person works with services we don't control, including Microsoft 365, Microsoft Azure and Stripe. Their own terms also apply to your use of them. We aren't responsible for outages or changes to those services, but we'll help where we can.
8. Availability and support
We work hard to keep The IT Person available and secure, but we can't promise it will always be uninterrupted or error-free. We'll try to give notice of planned maintenance. Helpdesk cases are handled during our normal UK business hours.
9. Your data
- You own your data. We use it only to provide the service, as set out in our Privacy policy.
- For your Microsoft 365 data, we act as your data processor. We'll:
- only process it on your documented instructions (these terms, and your use of the service);
- keep it confidential;
- protect it with appropriate security;
- only use sub-processors under equivalent obligations (listed in our Privacy policy);
- help you respond to data protection requests;
- tell you without undue delay if we become aware of a personal data breach affecting it;
- delete it when the service ends, unless the law requires us to keep it;
- give you the information you reasonably need to show compliance.
10. Liability
- Nothing in these terms limits liability that can't be limited by law, such as for death or personal injury caused by negligence, or for fraud.
- Otherwise, our total liability to you under or in connection with these terms is limited to the fees you paid us in the 12 months before the event that caused the claim.
- We're not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill.
11. Suspension and ending the agreement
We may suspend or end the service if you seriously break these terms (for example by not paying, or by misusing the service) and don't put it right within 14 days of us asking. We can end it immediately if needed to protect the service or other customers. We may also stop offering The IT Person with at least 60 days' notice, refunding any fees you've paid for a period after it ends.
12. Changes to these terms
We may update these terms. If a change is significant, we'll email you at least 30 days before it takes effect. If you don't agree, you can cancel before it applies.
13. General
- These terms are the whole agreement between us about The IT Person, unless you also have a separate Fully Managed agreement, which takes priority where they differ.
- If any part of these terms can't be enforced, the rest still applies.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
